Share-based incentive plan for key management 2013 - 2015

February 2013: The plan covers the years 2013-2015 and it complements the plan that exists for the years 2012-2014. The plan will cover a maximum of twelve members of the Group’s key management.

Stock exchange release 12 February 2013: Uponor complements the share-based incentive plan established in 2012.

On 12 Feb 2016, Uponor announced the Board’s decision to transfer, without payment, 28,601 of the company’s own shares to 9 key employees, as specified in the rules of the plan.

Share-based incentive plan for key management 2012 - 2014

March 2012: The Board of Directors approved the establishment of a new long-term share-based incentive plan to be offered to the key management of the company. The plan will cover a maximum of twelve members of the Group's key management.

Stock exchange release 2 March 2012: Uponor establishes a new share-based incentive plan.

On 12 Feb 2015, Uponor announced the Board’s decision to transfer, without payment, 42,818 of the company’s own shares to 10 key employees, as specified in the rules of the plan.

Executive Committee 2007 - 2011

To be eligible to participate in the scheme, an ExCom member had to acquire Uponor shares of a specific total value by the end of August 2008. Depending on the cumulative operating profit of Uponor during 2007-2011, and the number of shares acquired within the scheme, each member is eligible for being awarded Uponor shares in the spring of 2012.

International management 2009 - 2011

In October 2008, the Board of Directors decided to launch an incentive scheme to part of the Company's international management. To be eligible to participate in the scheme, a person must acquire Uponor shares of a specific total value by the end of August 2009. Depending on the achievement of the Company's financial targets for 2009-2011, and the number of shares acquired within the scheme, these persons are eligible for being awarded Uponor shares in the spring of 2012.
